Terms of Service (SudoLead)

These Terms of Service (“Terms”) govern your access to and use of the SudoLead website and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Who we are

SudoLead (“SudoLead,” “we,” “us,” “our”) provides marketing, automation, website, and related growth services. We are based in Carlisle, Pennsylvania.

2) Scope of Services

We may provide services such as website and funnel creation, CRM setup, automations, analytics/tracking setup, reputation workflows, and related consulting (“Services”). Specific deliverables, timelines, and pricing are defined in your proposal, statement of work, or written agreement (the “Order”).

3) No legal, financial, or professional advice

Our Services are provided for business and informational purposes only and do not constitute legal, financial, tax, or other professional advice. You are responsible for consulting qualified professionals as needed.

4) Accounts, access, and client responsibilities

You are responsible for providing accurate information and timely access to any accounts, domains, platforms, and content needed to perform the Services (for example: GoHighLevel, Google Analytics, Meta, domain/DNS, email, and hosting accounts). You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your accounts.

5) Payments and billing

Fees, billing frequency, and payment terms will be stated in your Order. Unless otherwise stated:

Setup fees are due before work begins.
Recurring fees are billed in advance of each billing period.
Past-due balances may result in paused work or suspended access to deliverables we control.

You are responsible for any third-party fees (for example: ad spend, platform subscriptions, phone/SMS charges, and software tools) unless explicitly included in your Order.

6) Cancellations and refunds

Unless your Order states otherwise, you may cancel recurring services by providing written notice before your next billing date. Fees already paid are non-refundable. Setup and one-time services are generally non-refundable once work has started due to time allocation and reserved capacity.

7) Deliverables, revisions, and approvals

We will provide deliverables described in your Order. Reasonable revisions may be included if stated in the Order. You are responsible for reviewing and approving deliverables in a timely manner. Delays in approvals or providing required materials may impact timelines.

8) Results and performance disclaimer

We do not guarantee specific results (including leads, revenue, rankings, conversion rates, or ad performance). Results depend on many factors outside our control, such as market conditions, competition, offer quality, budget, sales process, and platform changes.

9) Marketing, messaging, and compliance

If you use our Services to communicate with leads or customers (including email and SMS), you are responsible for ensuring your business complies with applicable laws, regulations, and platform policies. We can provide guidance and implementation support, but you remain responsible for your compliance obligations.

10) Intellectual property

Your materials. You retain ownership of your pre-existing content, trademarks, and materials you provide to us (“Client Materials”). You grant us a limited license to use Client Materials solely to perform the Services.

Our materials. We retain ownership of any pre-existing tools, templates, code, systems, processes, and know-how we use to deliver the Services (“SudoLead Materials”).

Project deliverables. Upon full payment, you receive a license to use the final deliverables we produce for you for your internal business use. If your Order specifies that deliverables are built inside your own accounts (for example, your GoHighLevel location), you will own and control access to those assets within that account, subject to any third-party platform terms.

11) Third-party services

Our Services may integrate with third-party tools (for example: GoHighLevel, Google, Meta, Stripe, Zapier, email/SMS providers). Your use of those tools is governed by their own terms and privacy policies. We are not responsible for third-party outages, policy changes, account limitations, or platform performance.

12) Confidentiality

If we receive non-public information from you, we will use reasonable efforts to keep it confidential and use it only to perform the Services, unless disclosure is required by law or you authorize us to share it.

13) Limitation of liability

To the maximum extent permitted by law, SudoLead will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, lost data, or business interruption). Our total liability for any claim related to the Services will not exceed the amount you paid to SudoLead for the Services in the three (3) months preceding the event giving rise to the claim.

14) Indemnification

You agree to indemnify and hold harmless SudoLead from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services, (b) your content, offers, or communications, or (c) your violation of applicable laws or third-party rights.

15) Suspension and termination

We may suspend or terminate access to the Services if you breach these Terms, fail to pay amounts due, or misuse the Services. Upon termination, any outstanding fees become immediately due. Sections intended to survive termination will survive (including limitations of liability and intellectual property).

16) Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules.

17) Changes to these Terms

We may update these Terms from time to time. If we make changes, we will update the effective date above. Your continued use of the Services after changes means you accept the updated Terms.
